Terms of Service

These Terms of Service ("Terms") govern your use of the SidelineStats platform, including the sidelinestats.app website, the iOS and Android mobile applications, and any tenant subdomain (e.g. yourleague.sidelinestats.app) (collectively, the "Service"), operated by SidelineStats ("we," "us," "our").
By creating an account, registering a player, or otherwise using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. The Short Version
- SidelineStats is a software platform. Leagues run their own programs; we provide the tools.
- Each league is responsible for its own legal compliance — waivers, background checks, insurance, refunds, on-field safety, league-specific rules, all of it.
- The waiver and consent text seeded into your league is boilerplate that we provide as a starting point. Each league is responsible for reviewing, modifying, and ensuring its forms meet applicable law.
- Payments are processed by Stripe. Refunds are issued by the league, not by SidelineStats.
- We don't sell your data. See our Privacy Policy for what we do and don't do with information.
2. Eligibility and Accounts
- You must be at least 18 years old to create an account on the Service. Minors under 18 may use the Service only through an account created and managed by a parent or legal guardian.
- You agree to provide accurate, current, and complete information during registration and to update it as needed.
- You are responsible for safeguarding your account credentials and for all activity under your account.
- You agree to notify us immediately at gcliff@gmail.com of any unauthorized access to your account.
3. The Service: What It Does and What It Doesn't Do
SidelineStats provides software tools for youth-sports leagues to manage registration, scheduling, rosters, statistics, live scorekeeping, messaging, payments, and related operations.
SidelineStats does not:
- Operate any league, organize any event, or supervise any activity.
- Provide officiating, coaching, training, or athletic services.
- Conduct background checks on coaches, volunteers, or staff (we provide integration tooling that leagues may use; the league is responsible for selecting a background-check provider and acting on results).
- Verify the accuracy of statistics entered by scorekeepers, coaches, or other users.
- Warrant the legal sufficiency of any waiver, consent form, code of conduct, or other document presented to you on the Service.
- Provide insurance coverage for any league, participant, or event.
Leagues are independent of SidelineStats. Each league using the Service is a separate organization that has agreed to use SidelineStats as a software vendor. The league sets its own rules, schedules its own events, manages its own staff, collects its own fees (via Stripe), and is solely responsible for what happens at its events.
4. League Responsibility
If you are an administrator of a league using the Service ("League Administrator"), you acknowledge and agree that the league is solely responsible for:
- Legal compliance. The league must comply with all applicable federal, state, and local laws — including youth-sports concussion laws, sudden-cardiac-arrest laws, heat-illness regulations, equipment-certification requirements, background-check mandates, COPPA, and any sport-specific regulation.
- Waivers and consent forms. While we seed template waivers (concussion acknowledgment, photo/video release, liability, medical authorization, sport-specific risk acknowledgments) as a starting point, the league must review and customize each waiver to ensure it meets applicable law. SidelineStats template waivers are not legal advice and are not a substitute for review by a licensed attorney in the league's jurisdiction.
- Background checks. The league must conduct appropriate background checks on coaches, volunteers, and staff in accordance with state law, SafeSport, and league policy. SidelineStats does not perform background checks.
- Insurance. The league must carry appropriate general liability, sports accident, and directors-and-officers insurance as required by its sanctioning body and applicable law.
- Equipment safety. The league is responsible for ensuring that all helmets, pads, and other safety equipment used at its events meet applicable certification standards (NOCSAE, ASTM, HECC, etc.). SidelineStats's data fields for tracking equipment are informational only.
- On-field safety. The league must provide qualified supervision, first aid, AED access, emergency action plans, and weather/lightning protocols at its events.
- Refunds. Registration refunds are governed by the league's refund policy and are issued by the league. SidelineStats does not issue refunds on behalf of leagues.
- Content uploaded by the league. Photos, news posts, public-website copy, sponsor information, and any other content the league publishes through the Service is the league's responsibility. The league represents that it has the right to publish such content and that it does not violate any third party's rights.
5. Boilerplate Disclaimer (Waivers and Templates)
The waiver, consent, and acknowledgment templates seeded into your league's account by SidelineStats — including but not limited to concussion acknowledgments, sudden-cardiac-arrest acknowledgments, heat-illness acknowledgments, sport-specific inherent-risk acknowledgments, equipment attestations, liability waivers, medical authorization forms, and photo/video releases — are boilerplate starting points drafted from publicly available state statutes, governing-body materials, and common industry practice.
These templates are not legal advice. SidelineStats:
- Makes no warranty that any template is legally sufficient in any jurisdiction.
- Makes no warranty that any template will be enforceable against any party.
- Is not responsible for any league's use of, modification of, or failure to modify any template.
- Strongly recommends that each league have its waivers reviewed by a licensed attorney in the jurisdictions where it operates before any registration period opens.
By using the Service, the League Administrator acknowledges that this Section 5 has been read and understood, and that the league assumes sole responsibility for the legal content of waivers presented to its registrants.
6. Payments
- Payments are processed by Stripe, Inc. Use of payment features is subject to Stripe's Services Agreement and Stripe's privacy policy.
- Card information is entered directly into Stripe's checkout and is never stored on SidelineStats's servers.
- Each league connects its own Stripe account; payments flow directly to the league. SidelineStats does not hold funds on behalf of leagues.
- Stripe may charge processing fees, which are deducted from the gross amount paid by the parent. The exact fee structure is governed by the league's agreement with Stripe.
- Refunds: All refund requests must be directed to the league. SidelineStats does not issue refunds.
- Platform fees: SidelineStats may charge leagues a subscription or per-registration fee. Platform fees, once billed, are non-refundable except as expressly stated in a separate written agreement between SidelineStats and the league.
7. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable law.
- Use the Service to harass, abuse, threaten, defame, or otherwise infringe the rights of others.
- Upload content that is obscene, hateful, harmful, or that exploits minors.
- Send unsolicited commercial messages ("spam") through the in-app messaging system.
- Attempt to gain unauthorized access to the Service, other users' accounts, or any league's data.
- Reverse-engineer, decompile, or attempt to extract source code from the Service except as expressly permitted by law.
- Use the Service to scrape, harvest, or collect personal information about other users.
- Resell, sublicense, or commercially exploit the Service without our prior written consent.
- Use automated tools (bots, scripts) to interact with the Service in a way that imposes an unreasonable load.
We may suspend or terminate accounts that violate these terms.
8. User Content
- "User Content" means any content (text, photos, video, statistics, messages, sponsor info, etc.) you submit to or post on the Service.
- You retain ownership of your User Content.
- By submitting User Content, you grant SidelineStats a non-exclusive, worldwide, royalty-free license to host, store, transmit, display, and process the User Content solely as necessary to operate the Service.
- You represent that you have all rights necessary to grant this license and that your User Content does not violate any law or third-party right.
- We may remove User Content that violates these Terms or applicable law, without notice.
9. Intellectual Property
- The Service — including the software, design, logos, and content (excluding User Content) — is owned by SidelineStats and protected by intellectual property laws.
- We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for its intended purpose. No other rights are granted.
- "SidelineStats" and our logo are our trademarks. You may not use them without our prior written consent.
10. Account Suspension and Termination
- You may close your account at any time by contacting us at gcliff@gmail.com.
- We may suspend or terminate your account if you violate these Terms, if your conduct creates risk or possible legal exposure for us or other users, or if continued provision of the Service to you is not commercially feasible.
- On termination, your right to use the Service ceases immediately. Sections that by their nature should survive termination (including Sections 5, 8, 11, 12, 13, 14, and 15) survive.
11. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, SIDELINESTATS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
We do not warrant that:
- The Service will be uninterrupted or error-free.
- Defects will be corrected.
- The Service will meet your specific requirements.
- Data entered by users (statistics, scores, schedules) is accurate.
- Any waiver, consent, or other legal template seeded by SidelineStats is legally sufficient.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- NEITHER SIDELINESTATS NOR ITS OPERATORS WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (including loss of profits, data, goodwill, or other intangible losses) arising from or related to your use of the Service.
- SidelineStats's total aggregate liability arising out of or related to these Terms or the Service will not exceed the greater of (a) one hundred US dollars ($100), or (b) the total fees paid by you to SidelineStats in the twelve (12) months preceding the claim.
- These limitations apply regardless of the legal theory (contract, tort, statute, or otherwise) and even if we have been advised of the possibility of such damages.
Some jurisdictions do not allow limitation of certain damages; in those jurisdictions, our liability is limited to the greatest extent permitted by law.
13. Indemnification
You agree to indemnify, defend, and hold harmless SidelineStats and its operators from and against any and all claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from or related to:
- Your use of the Service.
- Your User Content.
- Your violation of these Terms.
- Your violation of any law or third-party right.
- For League Administrators: any claim arising from the league's operation, including waiver sufficiency, on-field safety, refunds, equipment, background checks, or any other aspect of running the league.
This obligation survives termination of these Terms.
14. Governing Law and Dispute Resolution
These Terms are governed by the laws of the Commonwealth of Virginia, without regard to conflict-of-laws principles. Any dispute arising from or related to these Terms or the Service will be brought exclusively in the state or federal courts located in Virginia, and you consent to personal jurisdiction in those courts.
If you are a consumer in a jurisdiction whose law provides additional rights that cannot be waived by contract, those rights apply to the extent required.
15. Modifications to the Terms
We may update these Terms from time to time. The "Last Updated" date at the top reflects the most recent revision. Material changes will be communicated via email and in-app notice at least thirty (30) days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the revised Terms.
16. Miscellaneous
- Entire agreement: these Terms (together with the Privacy Policy and any separate written agreement between SidelineStats and a league) constitute the entire agreement between you and SidelineStats regarding the Service.
- Severability: if any provision is held unenforceable, the remaining provisions remain in full effect.
- No waiver: our failure to enforce any provision is not a waiver of that provision.
- Assignment: you may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of substantially all of our assets.
- No agency: nothing in these Terms creates a partnership, joint venture, employment, or agency relationship.
- Notices: legal notices to SidelineStats must be sent to gcliff@gmail.com with the subject "Legal Notice."
